1. Introduction and Acceptance
Welcome to Doorap. These Terms and Conditions ("Terms") govern your access to and use of the Doorap platform, website (doorap.com), and associated services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Doorap provides an artificial intelligence-driven property management operating system. The Service includes, but is not limited to, automated tenant communications, maintenance dispatch workflows, compliance tracking, and financial reconciliation tools. The Service is intended for business-to-business (B2B) use by letting agencies, Build-to-Rent (BTR) operators, block managers, and landlords.
3. Account Registration and Security
Eligibility: You must be at least 18 years old and have the legal capacity to enter into binding contracts on behalf of the business entity you represent.
Account Information: You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
Security: You are responsible for safeguarding the password and credentials used to access your account. You agree not to disclose your password to any third party. Doorap is not liable for any loss or damage arising from your failure to protect your account credentials.
4. Financial Integrations and Payments
Third-Party Processors: Doorap integrates with third-party financial services, including Stripe and Open Banking protocols, to facilitate rent reconciliation and payments.
Independent Terms: By utilizing these financial features, you agree to be bound by the respective terms of service of these third-party providers (e.g., the Stripe Services Agreement).
Liability for Transactions: Doorap acts solely as an operational conduit for data and does not hold, process, or transmit funds directly. Doorap is not responsible for delayed, failed, or disputed transactions, nor for any fees levied by third-party financial institutions.
5. Artificial Intelligence and Automation
Nature of AI: The Service utilizes AI (including the assistant "Dori") to categorize, route, and respond to communications, and to execute automated workflows. While we strive for high accuracy, AI systems can occasionally misinterpret data or generate incorrect outputs.
User Oversight: You acknowledge that Doorap is an operational aid, not a substitute for professional human judgment. You are responsible for reviewing critical automated actions—particularly those concerning emergency maintenance, financial disputes, or legal compliance.
Liability limitation: Doorap shall not be held liable for damages, regulatory fines, or tenant disputes arising from automated actions executed by the platform, provided the system functioned according to the parameters configured by the user.
6. Data Privacy and Security (GDPR Compliance)
Data Controller vs. Processor: In relation to tenant and property data, you act as the Data Controller, and Doorap acts as the Data Processor under the UK General Data Protection Regulation (UK GDPR).
Processing Agreement: Your use of the Service is also governed by our Data Processing Agreement (DPA) and Privacy Policy, which outline how we collect, use, and protect personal data.
Your Responsibilities: You warrant that you have obtained all necessary consents and lawful bases to input tenant and client data into the Doorap platform.
7. Intellectual Property Rights
Doorap IP: All intellectual property rights in the Service, including but not limited to the underlying code, AI models, UI/UX design, and branding, are the exclusive property of Doorap.
Your Data: You retain all rights to the property, financial, and tenant data you upload to the Service. You grant Doorap a worldwide, non-exclusive, royalty-free license to use, host, and process this data solely for the purpose of providing and improving the Service.
8. Acceptable Use Policy
You agree not to use the Service to:
Violate any applicable local, national, or international law, including housing and tenancy regulations.
Upload or transmit malicious code, viruses, or any material that compromises the security of the Service.
Attempt to reverse-engineer, decompile, or extract the source code or AI models of the Service.
Process discriminatory, defamatory, or highly sensitive personal data not required for standard property management operations.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Doorap and its directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising out of or in connection with your use or inability to use the Service. Our total liability for any claims arising under these Terms shall be limited to the amount you paid to Doorap in the twelve (12) months preceding the claim.
10. Service Availability and Modifications
Uptime: We strive to maintain maximum uptime; however, we do not guarantee that the Service will be uninterrupted or error-free. We reserve the right to perform scheduled maintenance with prior notice.
Modifications: Doorap reserves the right to modify or discontinue features of the Service at any time. We will provide reasonable notice of material changes that significantly impact your workflows.
11. Termination
By User: You may terminate your account at any time by providing notice as outlined in your specific pricing or subscription agreement.
By Doorap: We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
